Your contact information given to p2w2 is never sold, rented, leased, traded, swapped, exchanged, bartered, etc. We don't like junk mail, and know you don't either.

This Privacy Policy describes how we handle your personal information for our services on p2w2. The policy that applies on any of our domains or sub domains is always the policy that appears in the footer of each website.
By accepting the Privacy Policy and the User Agreement in registration, you expressly consent to our collection, storage, use and disclosure of your personal information as described in this Privacy Policy. Our Disclosure of Your Information

We may disclose personal information to respond to legal requirements, enforce our policies, respond to claims that a listing or other content violates the rights of others, or protect anyone's rights, property, or safety.

We may also share your personal information with:

Members of our corporate family to help detect and prevent potentially illegal acts and provide joint content and services (for example, registration, transactions and customer support). Our corporate affiliates will send marketing communications only to users who request these services.
Service providers under contract who help with our business operations (such as fraud investigations, bill collection, affiliate and rewards programs and co-branded credit cards).
Other third parties to whom you explicitly ask us to send your information (or about whom you are otherwise explicitly notified and consent to when using a specific service).
Law enforcement or other governmental officials, in response to a verified request relating to a criminal investigation or alleged illegal activity. If your personal information will be used contrary to this policy, you will receive prior notice.)

Without limiting the above, in an effort to respect your privacy and our ability to keep the community free from bad actors, we will not otherwise disclose your personal information to law enforcement, other government officials, or other third parties without a subpoena, court order or substantially similar legal procedure, except when we believe in good faith that the disclosure of information is necessary to prevent imminent physical harm or financial loss or to report suspected illegal activity.

Activity Associated with User IDs

Your User ID is displayed throughout p2w2 and is therefore available to the public. All of your activity on our sites is traceable to your User ID. Other people can see your bids, projects that you posted or were awarded to you in the past, storefronts, feedback, ratings and associated comments, and so on. Notices are sent to other community members regarding suspicious activity and policy violations on our sites and refer to User IDs and specific items. Therefore, if you associate your name with your User ID, the people to whom you have revealed your name will be able to personally identify your p2w2 activities.

Using Information from p2w2

p2w2 enables you to share personal and financial information to complete transactions. We encourage you to disclose your privacy practices and respect the privacy of other users. We cannot guarantee the privacy or security of your information and therefore we encourage you to evaluate the privacy and security policies of your trading partner before entering into a transaction and choosing to share your information. To help protect your privacy, we allow only limited access to other users' contact, and financial information to facilitate your transactions. When users are involved in a transaction, they may have access to each other's name, User ID, email address and other contact information. In all cases, you must give other users a chance to remove themselves from your database and a chance to review what information you have collected about them.
You agree to use user information only for:

p2w2 transaction-related purposes that are not unsolicited commercial messages;
using services offered through p2w2 (e.g. escrow, payments, and fraud complaints), or
other purposes that a user expressly chooses.

We use "cookies" (small files placed on your hard drive) on certain of our pages to help analyze our web page flow; customize our services, content and advertising; measure promotional effectiveness, and promote trust and safety.

No Spam, Spyware or Spoofing

We and our users do not tolerate spam. Make sure to set your p2w2 notification preferences so we communicate to you as you prefer. You are not licensed to add other p2w2 users, even a user who has purchased an item from you, to your mailing list (email or physical mail) without their express consent. To report p2w2-related spam or spoof emails to p2w2, please forward the email to p2w2@p2w2.com. You may not use our communication tools to send spam or otherwise send content that would violate our User Agreement. We automatically scan and may manually filter messages to check for spam, viruses, phishing attacks and other malicious activity or illegal or prohibited content, but we do not permanently store messages sent through these tools. If you send an email to an email address that is not registered in our community, we do not permanently store that email or use that email address for any marketing purpose. We do not rent or sell these email addresses.

Account Protection

Your password is the key to your account. Use unique numbers, letters and special characters, and do not disclose your p2w2 password to anyone. If you do share your password or your personal information with others, remember that you are responsible for all actions taken in the name of your account. If you lose control of your password, you may lose substantial control over your personal information and may be subject to legally binding actions taken on your behalf. Therefore, if your password has been compromised for any reason, you should immediately notify p2w2 and change your password.

Accessing, Reviewing and Changing Your Personal Information

You can see, review and change most of your personal information by signing on to p2w2. Generally, we will not manually modify your personal information because it is very difficult to verify your identity remotely. You must promptly update your personal information if it changes or is inaccurate. Once you make a public posting, you may not be able to change or remove it. Upon your request, we will close your account and remove your personal information from view as soon as reasonably possible, based on your account activity and in accordance with applicable law. We do retain personal information from closed accounts to comply with law, prevent fraud, collect any fees owed, resolve disputes, troubleshoot problems, assist with any investigations, enforce our p2w2 Terms of Service, and take other actions otherwise permitted by law.

Security

Your information is stored on our servers located in the United States. We treat data as an asset that must be protected and use lots of tools (encryption, passwords, physical security, etc.) to protect your personal information against unauthorized access and disclosure. However, as you probably know, third parties may unlawfully intercept or access transmissions or private communications, and other users may abuse or misuse your personal information that they collect from the site. General

We may amend this Privacy Policy at any time by posting the amended terms on this site. All amended terms automatically take effect 30 days after they are initially posted on the Site. Terms of Service

By accessing or using the Services available from the domain and sub-domains of www.p2w2.com (the "Site"), you agree and acknowledge that you have read this Terms of Service and that you are henceforth bound by its terms and conditions, including those available by hyperlink (collectively, the "Terms of Service"). We reserve the right to revise the Terms of Service and all linked information from time to time in our sole discretion by updating this posting or any linked information. Unless otherwise provided in such revision, the revised terms will take effect when they are posted.

Definitions used in this Terms of Service

"p2w2" or “PeopleToWorkWith” means PeopleToWorkWith Online Services Private Ltd., a Company registered in Hyderabad, India, and owner of www.p2w2.com, (including www.peopletoworkwith.com) and sub-domains within www.p2w2.com as well as all the applications and frameworks within them.

"Registered User" means a person or legal entity that registers for an Account with p2w2 for use of Services available in this website.

"Buyer" means a Registered User who searches and / or buys services from Professionals on p2w2.

"Professional" means a Registered User who registers on p2w2 as a ‘provider of services’ in the registration form.

"Services Framework" The Site is a framework through which:
(1) Buyers and Professionals can conduct commercial transactions and make payments for their work
(2) Buyers can define requirements including voice capture, invite Professionals to make proposals, and award projects ("Projects")
(3) Buyers can search, evaluate and conduct due diligence on Professionals
(4) Professionals can exhibit their capabilities through samples and other means, search for Projects, and submit proposals on requirements
(5) Buyers and Professionals can negotiate on their contract and arrive at Terms that govern their relationship
(6) Any project teams (whether the project is obtained through p2w2 or through any other source) can manage their engagements and projects using systems and tools for collaboration, project management and risk management

"Services" These are the subscriptions, project payments, mediation, arbitration, and other Services p2w2 delivers through the Site, other than Project Services.

"p2w2 Services" means any of the above Services delivered by p2w2 through the Site.

"User" means
(1) A person who is a Registered User, using the Site on his or her own behalf, or
(2) A person who is using the Site on behalf of a Member that is a Company or an Organization

"Visitor" or a "Guest" means a person who is only visiting the Site (i.e., not a Registered Member or User)

"You" means the Visitor or Registered User accessing the Site or using the Services on the Site on his or her own behalf; or, if the Services on the Site are used on behalf of a company or organization, "you" means the Registered User for which the Services are used and the User who accesses the Site on behalf of such Registered User (and such User represents that he or she has the authority to do so on the Registered User’s behalf).

Parties of Contracts Between Professionals and Buyers

By registering as a Registered User, you acknowledge and agree that you contract directly with other Registered Members of the Site to buy or sell Professional’s Services. p2w2 is not a party to any contract for any purchase and sale of Professional Services on the Site. All rights and obligations for the purchase and sale of any Project Services, including without limitation the purchase and sale of Projects, are solely between Professionals and Buyers. Each Registered Member is solely responsible for the enforcement and performance of its rights and obligations for the purchase and sale of Professional’s Services, including without limitation Projects.

Who can register and changes in Terms of Service

p2w2 Services are available to only those legal entities and individuals in business who can form legally binding contracts. To become a Registered user, you must be at least 13 years old and must accept all of the terms and conditions in, and linked to, the Terms of Service. P2w2 reserves the right to change any of the Terms of Service. P2w2 also reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone.

Account Information and Security of Username and password

To become a Registered User and use the services available from the Site you must register for an "Account". You will provide true, accurate and complete information as prompted by the registration form, and update such information to maintain its truth, accuracy and completeness. You must safeguard the Registered Member ID and password you use to access this Site. We may rely on any use of the Site with your Registered Member ID and password as authorized by you.

Fees

You agree to pay all fees applicable to your use of the p2w2 Services, and you agree not to evade p2w2’s fee structure.

Nature of Services, and Responsibility of Buyer and Professional in verifying credentials

The Site functions as a platform to connect Professionals with Buyers in a virtual marketplace. p2w2 is not involved in the contracting between Professionals and Buyers, or in the Professionals' delivery of services to Buyers. We have no control over and do not guarantee the quality, safety or legality of Services advertised, the truth or accuracy of listings, the qualifications, background, or abilities of Site Registered Members, the ability of Professionals to deliver Services, the ability of Buyers to pay for Services, or that a Professional or Buyer will actually complete a transaction. Each Professional and Buyer must look solely to the other for enforcement and performance of all the rights and obligations pursuant to the transactions it entered into with the other on the Site, and any other terms, conditions, representations, or warranties associated with such dealings.

Information of Professionals on p2w2

The Site contains a listing of Professionals. The listing is populated with information from Professionals themselves. P2w2 provides this listing as a convenience and does not confirm or verify the information contained in it. P2w2 Services do not source or deliver Projects and Services; they only provide the venue for Buyers and Professionals to find and contract with each other for Projects

Access, Fair Use, and Interference

You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without p2w2’s express written permission. Additionally, you agree that you will not: (a) take any action that imposes or may impose (in p2w2’s sole discretion) an unreasonable or disproportionately large load on p2w2 infrastructure; (b) copy, reproduce, modify, create derivative works from, distribute, or publicly display any content (other than content you have submitted to the Site) from the Site without the prior express written permission of p2w2 and the appropriate third party, as applicable; (c) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (d) bypass any measures p2w2 may use to prevent or restrict access to the Site or any subparts of the Site.

Warranty Disclaimer

The services provided hereunder are "as is" without warranty of any kind, either express, implied, statutory or otherwise, including, but not limited to, the implied warranties of title, non-infringement, merchantability or fitness for a particular purpose either express or implied, arising by statute or otherwise in law or from a course of dealing or usage or trade. p2w2 makes no representations or warranties of any kind, either express or implied, as to the quality, identity or reliability of any third party, or as to the accuracy of the postings made on the Site by and any third party. Some states and jurisdictions do not allow limitations on how long an implied warranty lasts, so some of the above limitations may not apply to you. p2w2 will not be liable for any loss that you may incur as a result of someone else using your password or account with respect to the services, either with or without your knowledge.

Limitation of Liability

In no event shall p2w2 be liable to you or any other Registered User for any special, indirect, consequential or punitive damages pursuant to this agreement, including but not limited to, loss of profits, loss of business opportunities or loss of goodwill, even if advised of the possibility of such damages.

Notwithstanding any other provision of this agreement, in no event will p2w2 liability to you for any action or claim related to the services provided under this agreement, not limited to third party representations, whether based on contract, tort, negligence or any other theory of liability or any other reason, exceed a sum of USD 250. Some states or jurisdictions do not allow for the exclusion or limitation of incidental or consequential damages, so this limitation and exclusion may not apply to you.

Release from claims, demands, and damages

If the advent of a dispute, You hereby waive the California Civil Code 1542 (and any analogous law in any other applicable jurisdiction). In case of a dispute with another Registered Member, you release p2w2 (and p2w2 officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

Indemnity

You agree to defend, hold harmless and indemnify p2w2 from and against any and all losses, costs, expenses, damages or other liabilities incurred by p2w2 from and against any cost, liability, loss, damage, cause of action, claim, suit, proceeding, demand or action brought by a third party against p2w2 resulting from: (i) your decision to supply credit information via the Site, including personal financial information; (ii) any negligent or intentional wrongdoing by any Registered Member; (iii) your decision to submit requirements and accept proposals from other Registered Members; (iv) your decision to submit proposals and accept projects for execution; (v) any breach of contract or other claims made by Registered Members with which you conducted business through the Site; (vi) your breach of any provision of this Agreement; (vii) any liability arising from the tax treatment of payments or any portion thereof; (viii) any act or omission of yours with respect to the payment of fees to any Professional; (ix) any act or omission of yours with respect to the delivery of services to any Buyer; (x) your dispute of or failure to pay for services to Professionals; (xi) your obligations to a Professional or a Buyer; (xii) your use of the Site. You agree to defend, hold harmless and indemnify p2w2 from and against any and all losses, costs, expenses, damages or other liabilities in connection with your use of the Services including any payment obligations incurred through use of the Services.

Intellectual Property (Inherent Marks in the website)

Except as expressly stated above, nothing in the Terms of Service confers any license under any of p2w2's or any third party's intellectual property rights, whether by estoppel, implication or otherwise. The p2w2 logo and name are trademarks of p2w2, and may be registered in certain jurisdictions. All other product names, company names, marks, logos and symbols on the Site may be the trademarks of their respective owners. p2w2 and its licensors retain all of its right, title and interest in and to all patent rights, inventions, copyrights, know-how and trade secrets relating to the Site..

Intellectual Property (License and Site Access to p2w2)

Subject to and conditioned on compliance with the Terms of Service, p2w2 grants you a limited license to access and, if you are a Registered User, to use this Site internally for the purpose of awarding and receiving the Services, and using p2w2 systems and tools for managing your engagements available and authorized from this Site. You must not use any content or application on this Site on any other Web site or in a networked computer environment for any purpose except your own internal viewing. You must not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any content of this Site in any way for any public or commercial purpose without prior written consent of p2w2 or the rights holder. You will not attempt to reverse engineer or attempt to interfere with the operation of any part of this Site unless expressly permitted by law. This Site or any portion of this Site may not be reproduced, duplicated, copied, sold, resold or otherwise exploited for any commercial purpose that is not expressly permitted by p2w2.

No Agency Relationship

The Terms of Service and any registration for or subsequent use of this Site will not be construed as creating or implying any relationship of agency, franchise, partnership or joint venture between you and p2w2, except and solely to the extent expressly stated under the Terms and Conditions of this Agreement.

Responsibility for Taxes and Legality

Each Registered User is solely responsible for complying with all income tax, payroll tax, payroll withholding, sales and use tax, governmental reporting and all other local and international legal requirements under applicable laws, including without limitation those applicable to the purchase and sale of Services from and by Professionals, and independent contractors. p2w2 is only a facilitator and Registered Users are responsible for the content they upload in the Site.

In addition, Users are solely responsible for ensuring that they comply with the copyright laws applicable.

Dispute Resolution Mechanism

If a dispute arises between you and p2w2, our goal is to resolve such dispute quickly and cost effectively. Accordingly, you and p2w2 agree that p2w2 will resolve any claim or controversy at law or equity that arises between us out of this Agreement or the p2w2 Services (a "Claim") mutually by contacting each other. You agree to contact us directly to seek a resolution by contacting us.

If a dispute arises between a Buyer and a Professional, both the parties agree hereby to follow the Dispute Resolution Mechanism set forth by p2w2

Notices and Communications

All notices to p2w2 intended to have a legal effect concerning this Agreement must be in writing and delivered either in person or by a means evidenced by a delivery receipt, to the following address:

p2w2 will communicate with you by email or by posting communications on this Site. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication when p2w2 sends it to the email address you have provided to p2w2 on this Site, or when p2w2 posts such communication on this Site. You must keep your email address updated on this Site, and you must regularly check this Site for postings.

If you have any questions, suggestions, reports of problems or complaints regarding any p2w2 Services, your use of the Site, the conduct of or purchase, sale, delivery, or payment of or for Services by or from any Registered User, please contact us through Contact us.

Jurisdiction

The Terms of Service are governed in all respects by the laws of the State of Andhra Pradesh without giving effect to any principle that may provide for the application of the law of another jurisdiction. You agree that any claim or dispute you may have against p2w2 must be resolved by a court located in Hyderabad, Andhra Pradesh and You hereby submit to this jurisdiction. Any cause of action you may have with respect to this Site must be commenced within 30 days after it arises, or the cause of action is barred.

Arbitration

For any claim arising between you and p2w2 (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost-effective manner through binding non-appearance-based arbitration. A party electing arbitration must initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration will be conducted by telephone, online and/or be solely based on written submissions, the specific manner will be chosen by the party initiating the arbitration; (b) the arbitration will not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) if an arbitrator renders an award the party receiving the award may enter any judgment on the award in any court of competent jurisdiction.

Disclaimer towards Third Party Links

The Site may contain links to other Web sites or resources. You acknowledge and agree that p2w2 is not responsible or liable for: (i) the availability or accuracy of such Sites or resources; or (ii) the content, advertising, or products on or available from such Sites or resources. The inclusion of any link on the Site does not imply that p2w2 endorse the linked Site. You use the links at your own risk.

Termination

This Terms of Service Agreement shall become effective upon your acceptance or your use of the Site, and shall continue until terminated by p2w2 or you as provided for under the terms of this Section.

Unless otherwise agreed to in writing between the parties, either party may terminate the Agreement at any time upon notice to the other party. In such event, (i) p2w2 shall continue to perform those p2w2 Services necessary to complete any open transaction between you and another Registered Member; and (ii) you shall continue to be obligated to pay p2w2 and any Professionals for any Services for which you have engaged from p2w2 or such Professionals in order to complete any such transactions.

Without limiting p2w2's other remedies, p2w2 may issue a warning, temporarily suspend, indefinitely suspend or terminate your registration and refuse to provide any Services to you if: (a) you breach any terms and conditions of the Terms of Service or the linked policies and information incorporated herein by reference, including our written policies and procedures posted on the Site; (b) p2w2 is unable to verify or authenticate any information you provide to us; or (c) p2w2 believes that your actions may cause legal liability for you, our Registered Users or for p2w2. Once temporarily suspended, indefinitely suspended or terminated, you may not continue to use the Site under the same Account, a different Account or reregister under a new Account.

Without limiting p2w2's other remedies, to the extent you engage in actions or activities which circumvent the p2w2 Site or otherwise reduce fees owed p2w2 under the Terms of Service, you will pay p2w2 for all fees owed to p2w2 and reimburse p2w2 for all losses and costs (including any and all p2w2 employee time) and reasonable expenses (including attorney fees) related to investigating such breach and collecting such fees.

When your Registered User status is terminated, you may no longer have access to data, messages, files and other material you keep on the Site. The material may be deleted along with all your previous posts and proposals. The provisions entitled "Warranty Disclaimer", "Limitation of Liability", "Release", "Indemnity", "Intellectual Property- License and Site Access", “Intellectual Property - Inherent Marks”, "Notices and Communications", " Dispute Resolution", "General", and "Service Charges and Subscriptions Policy" will survive termination of this Agreement.

General

You are responsible for compliance with applicable local laws, keeping in mind that access to the contents of this Site may not be legal for or by certain persons or in certain countries. p2w2 will not be considered to have modified or waived any of our rights or remedies under the Terms of Service unless the modification or waiver is in writing and signed by an authorized representative of p2w2. Delay or omission by p2w2 in exercising its rights or remedies will not impair its rights or be construed as a waiver. Any single or partial exercise of a right or remedy will not preclude further exercise of any other right or remedy. If any part of the Terms of Service is held to be unenforceable, the unenforceable part will be given effect to the greatest extent possible and the remainder will remain in full force and effect. You will not transfer, assign or delegate your rights or obligations (including your Account) under the Terms of Service to anyone without the express written permission of p2w2, and any attempt to do so will be null and void. p2w2 may assign this Agreement in its discretion.

Except for the payment of service charges to p2w2, neither of the parties to this Agreement shall be responsible for the failure to perform or any delay in performance of any obligation hereunder due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations or restrictions imposed by law or any other similar conditions beyond the reasonable control of such party. The time for performance of such party shall be extended by the period of such delay.

The Terms of Service and all documents referenced in the Terms of Service comprise the entire agreement between you and p2w2 with respect to the use of this Site and supersede all prior agreements between the parties regarding the subject matter contained herein as well as any conflicting or inconsistent terms in any Web site that link to or are linked from this Site.

Service Charges and Subscriptions<

p2w2 charges for its services as per the Pricing Policy. The pricing may change from time to time, and will be effective from the date this page is updated.

Payment for Services to Professionals

The payments to Professionals for the projects undertaken through the p2w2 marketplace have to be undertaken by the Buyer through p2w2 payment mechanisms. The payment options can change from time to time, and typically contain options like bank transfer, wire transfer, check, credit card or PayPal(TM).

Buyer can pay either by wire transfer, bank transfer, credit card or PayPalTMusing a step by step process provided in payment page. By providing us with your credit card information, you authorize us to charge such credit card for the amounts agreed in the payment terms with the Professional.

You agree, as a condition of using p2w2 services, NOT to ask your credit card company to charge back any amount to p2w2 for any reason. In the event you do, you hereby agree to repay p2w2 for such amounts, plus reasonable attorney fees and costs of collection, and p2w2 reserves the right to terminate Service to you in addition to all other rights available to p2w2. Any payment made through any channel IS FINAL.

Payment for p2w2 Services

Buyer has to make its payment to p2w2 as per the terms of payment agreed with the Professional. p2w2 will promptly transfer the payment to Professional after deducting its service fees. p2w2 will not keep any money on behalf of Buyer or Professional. Thus, Professionals will receive an amount that is the project costs billed by them minus the p2w2 fees.

Payment for Subscriptions

p2w2 Subscriptions can be paid either by credit card or PayPal(TM) using a step by step process provided in Subscriptions page. By providing us with your credit card information, you authorize us to charge such credit card for the amounts stated on the Subscriptions page. The subscription payments are typically charged every month (or periodically depending on the subscription plan), and the subscription period begins on the date that p2w2 receives your payment. You can cancel the subscription any time on the Subscriptions page; when you cancel or change a subscription, p2w2 will stop charging you for the subscription from the following period. But you agree that you cannot cancel the subscription that is already paid for. No refunds of fees already paid will be given.

You agree, as a condition of using p2w2 services, not to ask your credit card company to charge back any amount to p2w2 for any reason. In the event you do, you hereby agree to repay p2w2 for such amounts, plus reasonable attorney fees and costs of collection, and p2w2 reserves the right to terminate Service to you in addition to all other rights available to p2w2.

Your use of the subscription-based service constitutes your agreement to pay for the amounts which you authorize us to charge; such payments, once authorized, are final.

Changes to Subscriptions

If you change your subscription from a lower paying one to a higher paying one, the unused portion of the lower subscription fee will be credited toward the higher subscription fee. The new billing period will then be based upon the date p2w2 receives payment of the new subscription fee. You can cancel your subscription any time on the Subscriptions page. The cancellation of a membership will go into effect at the end of the billing period. If you downgrade your membership to a lower cost subscription, you will not receive a refund or credit for the fees already paid. The downgrade will go into effect at the beginning of the next billing period. p2w2 reserves the right to modify its subscription plans at any time, and the modified plans will be effective from the date the new plan is posted on the Site.

Currency

All payments, for services rendered by Professionals or for subscriptions operate in US Dollars, and therefore p2w2 is not responsible for currency fluctuations that occur for payments denominated in a currency other than US Dollars, nor is p2w2 responsible for currency fluctuations that occur when receiving or sending payments.

Dispute resolution mechanism

Buyer and Professional engaged in a project are governed by their Buyer-Professional agreement. Any disputes in connection with services provided by Professionals or payments made by Buyers remain between such Buyers and Professionals. For any dispute arising between them, Buyer and Professional will pursue resolution of the dispute in accordance with the following steps ("Dispute Resolution Mechanism").

p2w2 Mediation

In the event Buyer and Professional fail to resolve any dispute through the Self-Mediation process within 15 business days following Buyer or Professional's proposal for it, the Professional or Buyer will have the right to notify p2w2. p2w2 will review the Terms of Engagement and all project documents uploaded to the Site within 10 business days. p2w2 will contact Buyer and Professional to arrange a mediation conference call. The goal of the conference call is to resolve the dispute and deliver joint written instructions to p2w2 concerning a status of payment. p2w2 will not make a determination or assess blame. p2w2 will only act to facilitate discussion between the two parties to foster a resolution of the dispute.

Arbitration

In the event Buyer and Professional have still failed to resolve the dispute within five business days after the p2w2 Mediation conference call provided above, both parties agree not to bring an action in court but first go into Arbitration facilitated by p2w2, and as per the arbitration terms. It is agreed and understood that p2w2 will not bear any cost of such Arbitration. Parties electing arbitration will be solely responsible for the costs associated with the arbitration.

Judicial Resolution

Failing both the mediation process and the arbitration option set forth above, or in the event the total amount of the award sought exceeds $10,000, Buyer and Professional at each parties own expense will have the right to pursue judicial resolution of the dispute. It is agreed and understood that p2w2 is only a facilitator and a venue for services provided by the Professional to Buyer, and that Buyer and Professional are governed by the Buyer-Professional agreement that does not involve p2w2 as such for the services rendered.

Password protection

You authorize p2w2 to assume that any person using the Site with your User ID and password either is you or is authorized to act for you. Further, your p2w2 Account (including feedback) and User ID may not be transferred or sold to another party. You agree to safeguard the Username and password you use to access this Site. We strongly discourage you from passing on your user ID and password to others.

Enforcement of site policies

p2w2 may suspend or cancel your Account if p2w2 believe that you have violated or acted inconsistently with the letter or spirit of the Terms of Service and Site Policies, or violated our rights or those of another party. Without limiting p2w2's other remedies, p2w2 will suspend or terminate your Registered Member Account and refuse to provide any Services to you if:

You breach any terms and conditions of the Terms of Service, and the other written policies and procedures posted on the Site
p2w2 is unable to verify or authenticate any information you provide to us
p2w2 believes that your actions may cause legal liability for you, our Registered Members or for p2w2

Once suspended or terminated, you may not continue to use the p2w2 service under a different account or re-register under a new account. In addition, violations of the Terms of Service and the Site Policies may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. If a Registered Member engages in actions or activities which circumvent the Site or otherwise reduces service charges owed to p2w2 under the Terms of Service, that Registered Member will be liable to p2w2 for the service charges due, and may be subject to additional sanctions including, but not limited to, suspension or termination of p2w2 membership. p2w2 reserves the right to terminate any User for any reason, at its sole discretion and to refuse to provide registration and membership to you in the future. p2w2 will notify you if p2w2 cancels your membership, unless in our judgment giving notice would cause a risk of further violation or damages. However, p2w2 will notify you that your Account will be canceled if the law requires such notification. When your membership is canceled, you may no longer have access to data, messages, files and other material you keep on the Site.

A user suspended or cancelled can submit to p2w2 for review after such violations are remedied, and request a reinstatement of services. It is up to the sole discretion of p2w2 to either approve or deny such request.

Membership cancellation

We hope you will be happy with p2w2’s services. For any reason, if you wish to cancel your membership, contact us. If you cancel your membership, all your Personal Information including documents and files uploaded or received by you, and all project related information will be deleted, and cannot be recovered. You may continue to receive email communications for a short period of time until we have updated all of our databases. We save your Personal Information until your membership with us is terminated. After termination of your membership, your Personal Information may remain on our archived database and records. Notwithstanding the above, we will maintain information on Users who have been removed for violating our Membership Agreement.

Posting information or content

You agree to provide true, accurate and complete information whenever you post any information or content on the Site (including but not limited to posting a Requirements, Proposal on a posted Requirement, updating your profile and providing feedback). You agree to use good judgment when posting information, remarks or other content regarding other Users, Registered Members, Buyers, Professionals, p2w2 or any other third party. You understand that you may be held legally responsible for damages suffered by other Users, Registered Users, Buyers, Professionals, p2w2 or any third party as a result of legally actionable or defamatory comments, remarks or other information or content which you post to the p2w2 Site. Under United States federal law (specifically, the Communications Decency Act of 1996), p2w2 is not legally responsible for any remarks, information or other content posted or made available on its Site by any User or third party, even if such information or content is defamatory or otherwise legally actionable. p2w2 is not responsible for and does not monitor or censor content for accuracy or reliability. However, p2w2 reserves the right to remove or restrict access to any information or content posted or made available on the Site if ordered to do so by a court, or if p2w2 considers such information or content to be in violation of the Terms of Service or Site Policies. You agree NOT to do any of the following on the Site:

Post or introduce software on the Site that: (i) is designed to disrupt, disable, harm or otherwise impede in any manner, including aesthetic disruptions or distortions, the operation of this Site or any other software, firmware, hardware, computer system or network (sometimes referred to as "viruses" or "worms"); (ii) would disable or impair this Site or any other software, firmware, hardware, computer systems or networks in any way where such disablement or impairment is caused by the elapsing of a period of time, exceeding an authorized number of copies, advancement to a particular date or other numeral (sometimes referred to as "time bombs," "time locks" or "drop dead" devices); (iii) would permit you or any other person to access this Site or any other software, firmware, hardware, computer systems or networks to cause such disablement or impairment or transmit information (sometimes referred to as "traps," "access codes," or "trap door" devices, or "spyware"); or (iv) which contains any other similar harmful, malicious or hidden procedures, routines or mechanisms which would cause such programs to cease functioning or to damage or corrupt data, storage media, programs, equipment or communications or otherwise interfere with operations
Post any requirement, submit any proposal, or otherwise use p2w2 to transmit any content or conduct any transaction that would violate any applicable law or regulation
Post any project requirements that are fake, posted without the intention to award or complete the project or posted only to receive pricing information
Post any project requirements that offer commission or equity compensation
Post any project requirements that request free services
Post any project requirement, proposal, deliverable or transmit any content that infringes a third party's intellectual property rights, license rights, the terms and conditions of use of such third party's Web site or copyrighted materials or such third party's rights of publicity or privacy
Post any project requirement, proposal, deliverable or transmit any content related to or containing any adult or sexually explicit material
Post projects related to bulk email or spam, including but not limited to bulk email hosting, scripts, active code, programs, proxies, lists and relay servers
Post advertisements, solicitations or offers of full-time employment
Post advertisements, solicitations or offers of any nature
Post false or misleading information about a product, service or service request
Post or transmit any content that is profane, vulgar, racist, offensive, threatening, harmful, abusive, defamatory or disparaging
Post or transmit unprofessional or offensive comments about a User, Member, Professional, Buyer, p2w2 or any third party
Post any project, submit any bid or proposal that violates, or has the potential to violate, the integrity of academic and professional applications, tests and work; for example by passing off the skills, ideas or words of another as one's own; using another's production or content without crediting the source; presenting as new and original, ideas or products derived from an existing source; presenting fabricated facts, persons or sources as real
Suggest or solicit another User to contact you directly in order to buy or sell Services outside of p2w2
Access, tamper with or use non-public or non-authorized areas of the Site. Unauthorized individuals attempting to access these areas of the Site may be subject to prosecution
Tamper with postings of other Users, Registered Members or p2w2
Solicit or gather any User's or Registered Member's information available from the Site, such as other Usernames and email addresses, for any commercial or business purposes or to transmit any unsolicited advertising, junk mail, spam or chain letters
Do anything that would create or impose an unreasonable or disproportionately large burden or load on the Site
Use robots, spiders, scrapers or other automated means to access information in our Site for any purpose without express written permission from p2w2
Post project requirements that violate the Terms and Conditions of other companies
Frame into the Site except as permitted in writing by p2w2
Impersonate or misrepresent your affiliation with any person or entity
Repeat any action after you receive warning or request to desist from p2w2, whether or not that action is explicitly prohibited in the policies stated on the Site
Fail to respond to an email from p2w2 regarding violation, dispute or complaint within two business days
Use the Site if you are not able to form legally binding contracts, are under age or are temporarily or indefinitely suspended from our Site
Take any action that may undermine the feedback or ratings systems (such as importing or exporting feedback information off the Site, or using feedback as an extortion mechanism)
Copy, modify or distribute content from the Site, except for your own information and use, without the prior express written permission from p2w2
Select a Buyer or Professional on the basis of religion, sex or race
Violate any other policies stated on the Site

Violation of these rules may result in suspension or termination of your Account, in addition to all other remedies available to p2w2 or other Users or Registered Members. If you are aware of a potential violation, please contact us. In order to operate the Site, p2w2 must have certain rights. Consequently, when you post information, text, files, links, attachments, software or other materials to publicly visible areas of the Site, you are granting, or warranting that the owner of such Content has expressly granted a worldwide, royalty-free, perpetual, irrevocable, fully sub-licensable, non-exclusive right to use, reproduce, modify, transmit, distribute, perform, display and delete such Content (in whole or in part) and/or to incorporate such Content in other works in any form, media or technology now known or later developed.

User obligations

You agree to:
(a) abide by the Terms of Service and Site Policies, and the processes and procedures described throughout the Site; (b) be financially responsible for your use of p2w2 and the purchase or delivery of Services; and (c) perform your obligations and complete the transaction as specified by the Terms of Engagement, or your proposal, whichever is more recent, unless such transaction is prohibited by law or by the Terms of Service and Site Policies. Upon awarding of a project, you agree to purchase the Services if you are a Buyer, or provide the Services if you are a Professional, in accordance with the terms agreed to by the parties, subject to any mutually agreed change in project scope. You agree that the p2w2 service payments will increase or decrease appropriately if there is a change of scope.

Buying services

Buyer Guidelines

You agree to undertake the following while using p2w2:

To post requirements with clear scope, well-defined deliverables and required time frames
To leave objective, balanced ratings and feedback after completion of Project
To evaluate multiple proposals against criteria important to you such as a Professional's work experience, ratings, education, portfolio, case studies, certifications, references, feedback from prior Buyers, location, communication style and cost
To shortlist a proposal only when it has a clear statement of work, well-defined deliverables and milestones, precise timeframes and payment terms
To utilize the Terms of Engagement business process flow to negotiate on your contract, milestones, deliverables, timeline and costs or rates per hour in case of Time and Materials engagements
To clarify questions from Professionals clearly and promptly, and update the requirements
To use p2w2 collaboration, systems and tools to manage the project
To pay for the services rendered ONLY through p2w2 mechanism as defined in Payment for Services to Professionals, and not bypass p2w2 in engaging with a Professional found through p2w2

Providing services

If you wish to provide professional Services through p2w2, you must be a Registered Member of p2w2. You are encouraged to complete your Profile in the 'My Profile' page, and make it as rich as possible in terms of information about yourself so that the Buyer can get a good understanding of your capabilities. At the beginning of your membership application, and from time to time thereafter, your Account may be subject to verification as well as editorial and feedback reviews. p2w2 can suspend or terminate your Account upon the discovery that any information you provided or posted is not complete or accurate, or as a result of other violations of the Terms of Service and Site Policies.

Proposal Guidelines

You agree to utilize the following proposal guidelines:

Submit proposals only on projects that you are a good fit for and you can complete within the Buyer's time frames
Help the Buyer clarify his or her needs and fully develop the project scope and deliverables
Write a specific, detailed proposal with clear scope, deliverables and milestones
Set expectations that you can meet or exceed
Agree on payment terms that tie to the completion of milestones or to submission of timesheets

When submitting your proposal you agree to:

Submit an accurate proposal reflecting your understanding of the scope of the project and the amount of time/effort you plan to commit in order to provide high Buyer satisfaction
Submit a new proposal when needed to reflect any changes to price, delivery date or approach, prior to the end of the proposal period
Not submit unreasonably low bids or test bids
If you do not have sufficient information about the project, collaborate using messages in p2w2 and request more information, indicating your assumptions regarding the project scope in your proposal and making explicit that you will update the proposal once you receive more information, or do not submit a proposal at all on the project
Not submit proposals that are made with the intent to commit fraud. Doing so will result in immediate termination of your membership, and/or other appropriate action
Not submit placeholder, boilerplate or generic bids
Not offer your Services in exchange for good feedback or for free
Respond promptly, within one business day, to messages from the Buyer
Respond promptly, within one business day, to any inquiry from p2w2

Violation of these guidelines may result in suspension or cancellation of your Account. If you are aware of a potential violation, please contact p2w2.

Project Execution Guidelines

You agree to utilize the following project fulfillment guidelines:

Once you have been awarded a project, use p2w2 to manage the project and to maintain an electronic record of all communication between you and the Buyer around scope, deliverables, milestones, time frames, price, feedback, revisions, schedule changes, vacation, availability, delays, acceptance of deliverables and completion of milestones. In the event of a dispute, all written communication on p2w2 will serve as the statement of record
Inform the Buyer of your office hours and committed response times
Inform the Buyer if a committed deliverable will be missed, offering an explanation and proposing a revised date
Inform the Buyer if you will be unavailable for more than one business day
If you are unable to complete the project, alert the Buyer immediately
Respond promptly, within 1 business day, to all project-related communication, whether from the Buyer or from p2w2
After the project is completed, leave objective, balanced ratings and feedback
To receive payments for the services rendered ONLY through the p2w2 mechanism, and not bypass p2w2 in engaging with a Buyer found through p2w2

Violation of these guidelines may result in suspension of your Account. If you are aware of a potential violation, please contact Customer Service.

Communication

You are encouraged to use p2w2 to manage projects, and use messages in p2w2 to maintain an electronic record of all written communication including clarifications and agreements related to scope, deliverables, milestones, timelines, price, feedback on deliverables, requests for revisions, acceptance of deliverables and completion of milestones.

p2w2 encourages open, complete and professional communication between Buyers and Professionals. Buyers and Professionals can use the messages collaboration system of p2w2 to communicate. Open communication helps Professionals develop relevant proposal, Buyers make informed award decisions, both Buyers and Professionals to engage with each other in managing projects together, and reduces the risk of delivery of high quality services in a timely manner. In the event of a dispute, all electronic communication on p2w2 will serve as the record for resolution of the dispute.

Rating and feedback system

You acknowledge and agree that the Site will contain public feedback from Registered Members with whom you have transacted. You acknowledge that feedback results for you may consist of comments and ratings left by other Registered Members, and that p2w2 may calculate a composite feedback rating based on these individual ratings. Professionals agree to be rated by Buyers along several criteria, as determined by p2w2. p2w2 provides its feedback and rating system as a means through which Registered Members can express their opinions publicly, and p2w2 does not monitor or censor these opinions or investigate any remarks posted by Users for accuracy or reliability unless a Registered Member brings the posting to p2w2's attention. You may be held legally responsible for damages suffered by other Registered Members or third parties as a result of these remarks if a court finds that these remarks are legally actionable or defamatory. Under federal law, p2w2 is not legally responsible for any feedback or comments posted or made available on this Site by any Users or third parties, even if that information is defamatory or otherwise legally actionable. You agree to report violations or abuses of our rating and feedback system immediately by contacting p2w2, and agree not to take any actions that undermine the integrity of the feedback system, including but not limited to the following:

Leaving fake feedback for yourself or another User or Registered User such as using a secondary Username or other Registered Users to artificially raise the level of your own feedback or create negative feedback for another Registered User
Feedback threats such as demanding another Registered User to perform a task by threatening to leave negative feedback or withholding deliverables or funds until another Registered User agrees to leave positive feedback or no feedback.
Feedback solicitation such as offering to sell or buy Services in exchange for good feedback, trading feedback undeservedly or buying feedback.

In order to protect the integrity of the feedback system and protect Registered Members from abuse, p2w2 will consider removing feedback under the following circumstances:

Feedback or information posted seeks to elicit or solicit any Registered Member's contact information, such as other Registered Member's email addresses, for any non-p2w2 related commercial or business purposes, or to transmit any unsolicited advertising, "junk mail," "spam,", "chain letters" or any other derogatory purpose
Feedback or information posted contains language that is profane, vulgar, racist or contains adult material
Feedback or information posted is shown to have been left by any Registered Member who is in violation of p2w2's eligibility requirements, or by or for a User who has conducted any fraudulent transaction
Feedback or information posted is not directly related to transactions conducted through p2w2
Feedback or information posted makes any reference to actions taken or purported to be taken by p2w2 or any law enforcement organization
When p2w2 is provided with a ruling or settlement agreement from a valid and certified dispute resolution service, or is provided with a court order finding that the disputed feedback is slanderous, libelous, defamatory or otherwise illegal
The Registered User who left feedback provided p2w2 with false contact information during the transaction period (as verified by p2w2) and cannot be contacted by p2w2
The Registered User who left feedback is participating in a p2w2 transaction with the intent of leaving feedback as part of a campaign to harass p2w2 members (as verified by p2w2)
Negative feedback that was intended for another Registered Member only when the Registered Member responsible for the mistaken feedback contacts p2w2 and places the same feedback for the appropriate User. This does not apply to feedback that was mistakenly marked negative instead of positive or vice versa, in which case the Registered Member can contact us to file a feedback review request
Any reason solely determined at p2w2's discretion deemed to be disruptive of p2w2 services

Period of exclusivity

If you are a Buyer, you agree that for a period of one year after acceptance of a proposal, if you post, solicit, or purchase any services from the same Professional you will do so exclusively on the Site, and will not circumvent p2w2 fee structure, whether such services are the same project, a follow-up project, or new unrelated services.

If you are a Professional, you agree that for a period of one year after acceptance of a proposal, if you propose or provide any services to the same Buyer, you will do so exclusively on the Site, whether such services are the same project, a follow-up project, or new unrelated services.

Circumvention of p2w2 service charges

You agree not to engage in any action or activity meant to circumvent the p2w2 service charges. Prohibited practices include (but are not limited to) the following:

Placing low value or placeholder bids, with unreasonably high final Provider Service charges that are paid outside of p2w2 through a different channel
Failing to report change of scope and resulting change of payments
Suggesting or soliciting Buyers to hire you outside the p2w2 system
Suggesting or soliciting Professionals to work with you outside the p2w2 system
Suggesting or reporting a lower project value in-lieu of other services performed in or outside p2w2 system
Submitting bids or proposals for a project posted on the Site outside of the p2w2 system
Reporting on the Site a project amount different than that agreed between Buyer and Professional
